Terms and Conditions of Use of the Xandastores

1.1. “Xandastores” refers to e-commerce platform consisting of a website where we sell variety of products, together with supporting logistics and payment infrastructure, for the sale and purchase of consumer products and services products

1.2. These general terms and conditions apply to all buyers and sellers using the Xandastores marketplace and govern your use of the marketplace and related services.

1.3. By using the Xandastores marketplace, you accept these terms and conditions in full. If you do not agree with any part of these terms, you must not use the marketplace.

1.4. If you use the marketplace for business or organizational purposes, you:

1.4.1. Confirm you have the authority to agree to these terms;

1.4.2. Bind both yourself and the relevant business or entity to these terms; and

1.4.3. Agree that “you” refers to both the individual user and the relevant entity, unless otherwise specified.

2. Registration and Account

2.1. You must be at least 18 years old to register with the Xandastores marketplace. By using the marketplace or agreeing to these terms, you confirm you are at least 18.

2.2. Upon registering, you will provide an email address/user ID and password. You agree to:

2.2.1. Keep your password confidential;

2.2.2. Notify us immediately in writing (via our contact details) if your password is disclosed;

2.2.3. Be responsible for any activity resulting from failure to keep your password confidential;

2.2.4. Use your account exclusively and not transfer it to any third party. Any third-party management of your account is at your own risk.

2.3. We may suspend, cancel, or edit your account at our discretion without notice, provided we refund you for any paid but undelivered products if you have not breached these terms. You may cancel your account by contacting us as outlined contact information.

3. Terms and Conditions of Sale

3.1. You acknowledge that:

3.1.1. The Xandastores marketplace is a platform for sellers to offer and buyers to purchase products;

3.1.2. Xandastores facilitates binding sales on behalf of sellers but is not a party to the transaction (unless Xandastores is the seller);

3.1.3. A contract for the sale of products is formed between the buyer and seller upon the buyer’s confirmation of purchase via the marketplace.

3.2. The seller’s terms of business govern the sale contract, subject to these terms. The following provisions are incorporated into every sale contract:

3.2.1. The product price is as stated in the product listing;

3.2.2. Prices include all applicable taxes and comply with relevant laws;

3.2.3. Additional charges (e.g., delivery, packaging, or insurance) are payable by the buyer only if clearly stated in the listing; digital products may be delivered electronically;

3.2.4. Products must be of satisfactory quality, safe, fit for purpose, and conform to the listing description;

3.2.5. For physical products, the seller warrants clear title and no third-party restrictions (e.g., intellectual property or legal proceedings). For digital products, the seller warrants the right to supply them.

4. Refunds and returns

 Returns are managed per the Xandastores returns and refund page, subject to applicable laws in the territory. Acceptance of returns is at our discretion.

5. Payments

5.1. Payments must be made in accordance with the Payment Information and Guidelines on the Xandastores marketplace.

6. Store Credit

6.1. Store credits are earned and managed per the Xandastores Store Credit Terms and Conditions. We may cancel or withdraw credits at our discretion, including for suspected fraud. View terms on our website.

7. Promotions

7.1. Promotions and competitions are governed by the Xandastores Promotions Terms and Conditions, available on our website.

8. Rules About Your Content

8.1. “Your content” includes all materials (text, images, audio, video, etc.) and communications (reviews, feedback, comments) you submit to the marketplace.

8.2. Your content must be accurate, complete, and truthful.

8.3. Your content must be appropriate, civil, and not:

8.3.1. Offensive, obscene, or sexually explicit;

8.3.2. Depict graphic violence;

8.3.3. Breach discrimination or hatred laws;

8.3.4. Be deceptive, threatening, harassing, or inflammatory;

8.3.5. Cause annoyance or constitute spam.

8.4. Your content must not be illegal, infringe any legal rights, or breach intellectual property, privacy, or contractual obligations.

8.5. You must not link to websites containing material that violates these terms.

8.6. You must not submit content subject to legal proceedings or complaints.

8.7. Product reviews must be accurate and authentic. Inauthentic or fake reviews are prohibited.

8.8. You must not interfere with transactions by:

8.8.1. Arranging off-marketplace sales;

8.8.2. Warning users away from specific buyers, sellers, or items;

8.8.3. Contacting users to collect payments.

8.9. You are responsible for interactions with other users and must not share personal information, such as payment details.

8.10. We may review and remove your content at our discretion.

8.11. Report unlawful content or activity to us using the contact details in section 26.

9. Our Rights to Use Your Content

9.1. You grant Xandastores a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content on our marketplace and marketing channels.

9.2. You grant us the right to sub-license and enforce these rights.

9.3. You waive all moral rights in your content to the extent permitted by law.

9.4. We may delete, unpublish, or edit your content if it breaches these terms or is suspected of doing so.

10. Use of Website and Mobile Applications

10.1. “Marketplace” and “website” refer to Xandastores’ websites and mobile applications.

10.2. You may:

10.2.1. View and cache pages in a web browser;

10.2.2. Print pages for personal, non-commercial use (not systematically);

10.2.3. Stream audio/video using our media player;

10.2.4. Use marketplace services via a web browser, subject to these terms.

10.3. Unless permitted, you must not download or save material from our website.

10.4. Use the marketplace only for personal or business purposes related to buying or selling products.

10.5. Do not edit or modify website material unless permitted.

10.6. Unless you own the rights, you must not republish, sell, rent, or exploit website material commercially.

10.7. You may share product links and promotional materials.

10.8. We may suspend or restrict access to the website for maintenance or updates. Do not attempt to bypass access restrictions.

10.9. You must not use the website in ways that are unlawful, harmful, or impair its performance, security, or integrity, including hacking, data scraping, or excessive resource use.

11. Copyright and Trademarks

11.1. Xandastores and its licensors own all copyright and intellectual property rights in the website and its material.

11.2. Xandastores’ logos and trademarks are our property; unauthorized use may infringe our rights.

11.3. Third-party trademarks on our website belong to their owners, and we do not grant licenses for their use.

12. Data Privacy

12.1. Buyers agree to the processing of their personal data per the Xandastores Privacy and Cookie Notice.

12.2. Xandastores processes personal data per our Privacy Policy.

12.3. Sellers are responsible for any misuse of buyers’ personal data; Xandastores is not liable for such misuse.

13. Due Diligence and Audit Rights

13.1. We operate an anti-fraud and anti-money laundering program and may conduct due diligence on users.

13.2. You agree to provide information, documentation, or access to your premises as required to verify compliance, respond to legal orders, or meet regulatory requirements.

14. Xandastores’ Role as a Marketplace

14.1. Xandastores facilitates transactions between buyers and sellers (including Xandastores as a seller). Sellers remain solely liable for their products. Buyers should seek recourse from sellers via the Xandastores Dispute Resolution Policy.

14.2. Sellers (including Xandastores) warrant that product information is accurate, complete, and up-to-date. Complaints about inaccurate information should follow the Dispute Resolution Policy.

14.3. We do not guarantee uninterrupted or fault-free operation of the marketplace, especially during force majeure events (e.g., natural disasters, cyberattacks, or political instability).

14.4. We may discontinue or alter marketplace services without notice, except for unfulfilled orders, which will be addressed per existing liabilities.

14.5. For non-force majeure discontinuations, we will provide at least 15 days’ notice with guidance on pending transactions.

14.6. We do not guarantee commercial results from marketplace use.

15. Limitations and Exclusions of Liability

15.1. These terms do not limit or exclude liabilities or statutory rights that cannot be limited under applicable law.

15.2. Our liability for free services is excluded for any loss or damage.

15.3. Our aggregate liability per transaction contract shall not exceed the amount paid or payable under that contract.

15.4. We are not liable for losses due to website interruptions, force majeure, business losses, data corruption, or indirect/consequential damages.

15.5. You acknowledge Xandastores is a limited liability entity, and you will not bring personal claims against our officers or employees for marketplace-related losses.

15.6. Third-party website links are not endorsements, and we are not responsible for their content or related losses.

16. Indemnification

16.1. You indemnify Xandastores against losses, costs, or liabilities arising from your use of the marketplace, breach of these terms, or failure to pay taxes (e.g., VAT) related to transactions.

17. Breaches of These Terms

17.1. If you breach these terms or we suspect a breach, we may suspend, prohibit, or block your access, delete your account, or pursue legal action.

17.2. You must not circumvent any suspension or prohibition (e.g., by creating a new account).

18. Entire Agreement

18.1. These terms, along with Xandastores codes, policies, and seller terms, constitute the entire agreement for your marketplace use, superseding prior agreements.

19. Hierarchy

19.1. In case of conflict, these terms, seller terms, and Xandastores codes/policies prevail in that order.

20. Variation

20.1. We may revise these terms, seller terms, or codes/policies. Revised terms apply from their publication date on the marketplace.

21. No Waiver

21.1. No waiver of a breach constitutes a waiver of other breaches.

22. Severability

22.1. If a provision is unlawful or unenforceable, it will be deemed modified or deleted to the extent necessary, while other provisions remain in effect.

23. Assignment

23.1. We may assign or transfer our rights/obligations under these terms. You may not do so without our prior written consent.

24. Third Party Rights

24.1. These terms are for our and your benefit only and do not confer rights to third parties.

25. Law and Jurisdiction

25.1. These terms are governed by the laws of the territory. Disputes are subject to the exclusive jurisdiction of the territory’s courts.

26. Our Company Details and Notices

26.2. For after-sales or disputes, request seller contact details via the Xandastores Dispute Resolution Policy.

26.3. You consent to receive electronic notices via our website, app, or email, deemed received upon posting or sending.

2. User Accounts

1. Account Information: Users are responsible for maintaining the confidentiality of their account information and passwords.

2. Account Termination: Xanda stores reserves the right to terminate or suspend user accounts without prior notice if there is a violation of these terms.

3. Products and Services

1. Product Information: While we strive for accuracy, we do not guarantee the completeness or reliability of product information on Xanda stores. Users are encouraged to verify details independently.

2. Pricing: Prices are subject to change without notice. Xanda stores reserves the right to modify or discontinue any product or service without prior notice.

4. Privacy Policy

Your use of Xanda stores is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.

5. Intellectual Property

1. Ownership: All content and materials on Xanda stores, including but not limited to text, graphics, logos, and images, are the property of Xanda Groups of company and are protected by intellectual property laws.

2. Use Restrictions: Users are prohibited from using, reproducing, or distributing any content from Xanda stores without explicit permission.

6. Disclaimers

1. Availability: Xanda stores strives to maintain uninterrupted service, but we do not guarantee continuous, error-free operation of the platform.

2. Content Accuracy: We do our best to provide accurate and up-to-date information, but we make no warranties or representations regarding the accuracy of the content on Xanda stores.

7. Limitation of Liability

Xanda stores, its affiliates, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8. Changes to Terms

Xanda stores reserves the right to modify these terms and conditions at any time. Users are responsible for regularly reviewing these terms, and continued use of the platform constitutes acceptance of any changes.
